Terms of Service

1. Acceptance of Terms

By accessing or using the EDGE77 platform ("Service"), operated by Axal Global Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

EDGE77 provides an AI-powered freight invoice audit and dispute recovery platform. The Service includes:

• Automated extraction and parsing of carrier invoices
• Contract compliance verification against agreed-upon rates
• Identification of billing errors and overcharges
• Automated dispute filing and recovery tracking
• Dashboard reporting and analytics

3. Account Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for safeguarding your password and for all activity that occurs under your account.

You must notify us immediately of any unauthorized use of your account. We are not liable for any loss arising from unauthorized use.

4. Pricing and Payment

4.1 Contingency Fees

The Service operates on a contingency fee model. You pay a percentage of the amount recovered from carrier overcharges. The applicable percentage depends on your subscription plan:

• Starter: 15% contingency fee
• Growth: 12% contingency fee
• Enterprise: 10% contingency fee

4.2 Subscription Fees

Monthly subscription fees apply to Growth ($499/month) and Enterprise ($2,999/month) plans. The Starter plan has no monthly subscription fee.

4.3 Payment Processing

Payments are processed through Stripe, Inc. By using the Service, you agree to Stripe's terms of service. We do not store your payment card information.

4.4 Refund Policy

Subscription fees are non-refundable. Contingency fees are only charged on successfully recovered amounts. If we do not recover funds, you owe nothing.

5. Your Data

5.1 Ownership

You retain all rights to your data, including invoice data, contract data, and any information you upload to the Service. We do not claim ownership of your data.

5.2 License to Process

You grant us a limited license to process your data solely for the purpose of providing the Service. This includes extracting, analyzing, comparing, and storing invoice data as necessary to perform audits and file disputes.

5.3 Data Security

We implement industry-standard security measures including AES-256 encryption at rest, TLS 1.3 in transit, role-based access controls, and regular security audits. However, no method of transmission or storage is 100% secure.

6. Intellectual Property

The Service, including its design, code, algorithms, and documentation, is owned by Axal Global Inc. and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

7. Prohibited Uses

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Use automated means (bots, scrapers) to access the Service without written permission
• Transmit malware, viruses, or other harmful code
• Impersonate another person or organization
• Use the Service to compete with us or build a competing product

8. Third-Party Integrations

The Service may integrate with third-party platforms (e.g., TMS, ERP, carrier portals, Samsara). Your use of these integrations is subject to their respective terms. We are not responsible for third-party services or their availability.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

We do not guarantee the outcome of any dispute filed through the Service. Recovery amounts depend on carrier responses, contractual terms, and applicable regulations.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AXAL GLOBAL INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability for any claim arising from the Service shall not exceed the greater of (a) the fees you paid us in the twelve (12) months preceding the claim, or (b) $100.

11. Indemnification

You agree to indemnify, defend, and hold harmless Axal Global Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections 5, 6, 9, 10, 11, and 14 survive termination.

13. Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Wilmington, Delaware.
